Article 1. Purpose and scope
These general terms and conditions of sale apply to any order for doors, tables, furniture, gates and other old wood pieces placed with Esprit Vieux Bois, by an individual (the "consumer customer") or by a professional (the "professional customer"). Placing an order constitutes acceptance of these terms. They prevail over any other document from the customer, unless agreed in writing.
Article 2. Nature of the products
The pieces are made in the workshop from reclaimed old wood. Each piece is unique. Cracks, knots, tool marks, former hardware, and variations in colour and patina are part of the character of the material and are not defects. Photographs on the site, in catalogues and in quotes are indicative: the piece delivered may differ slightly from the visuals, which the customer accepts.
Article 3. Quotes and orders
The quote is free of charge. It specifies the description of the piece, dimensions, species, finish, price and lead time. It is valid for 30 days.
The order is binding once the customer has returned the dated and signed quote, marked "Approved", and paid the deposit set out in article 5. Any change requested after the order is the subject of an amendment, which may change the price and lead times.
Article 4. Prices
Prices are stated in euros. For individuals they include all taxes; for professionals they exclude VAT, which is added at the rate in force. The price is that of the accepted quote. Transport, installation and fitting costs are shown separately on the quote.
Article 5. Payment
- Deposit of 30% of the price when ordering. Production only starts once the deposit has been received.
- Balance on delivery or before collection.
- Accepted payment methods: bank transfer, cheque, cash within the legal limit.
- Late payment (professional customers): penalties equal to 3 times the legal interest rate, due from the day after the due date, plus a fixed indemnity of 40 euros for recovery costs (article L441-10 of the French Commercial Code).
- For a consumer customer, any late payment may lead to suspension of production or delivery, after formal notice.
Article 6. Production and delivery times
Lead times stated in the quote are indicative and run from receipt of the deposit and validation of all details of the order. A delay gives rise to neither penalty nor damages, except in the case of proven fault by the workshop. If the delay exceeds 60 days beyond the planned date, the consumer customer may terminate the order by registered letter, after a formal notice that has remained without effect for a reasonable period (article L216-2 of the French Consumer Code).
Article 7. Delivery, collection and acceptance
Delivery is provided by the workshop, within the area and on the terms of the quote, or is by collection at the workshop. The customer prepares access (door, stairs, lift) and reports any difficulty before delivery.
On receipt, the customer checks the piece in the presence of the delivery person and notes any reservation on the delivery note. The customer confirms the reservations to the workshop in writing within 3 working days. In the absence of reservations, the piece is deemed to comply with the quote.
Risk passes to the customer on handover of the piece.
Article 8. Right of withdrawal (consumer customers)
The pieces are made to the customer's specifications or clearly personalised. For such goods, the 14-day right of withdrawal does not apply (article L221-28, 3° of the French Consumer Code) when the order is placed at a distance or off premises. For standard pieces sold at the workshop, there is no statutory right of withdrawal.
Every order is therefore binding once the deposit is paid. Cancellation remains possible with the written agreement of the workshop; the deposit may then be kept up to the costs incurred (materials, work already done).
Article 9. Legal warranties
The consumer customer benefits from the legal warranty of conformity (articles L217-3 et seq. of the French Consumer Code) and the warranty against hidden defects (articles 1641 et seq. of the French Civil Code). The texts are reproduced at the end of this document.
These warranties do not cover: normal wear, poor maintenance, improper use, impact, exposure to damp or excessive heat, or the natural characteristics of old wood described in article 2. Wood is a living material that reacts to changes in temperature and humidity: slight movement is normal.
No additional commercial warranty is given, unless stated in the quote.
Article 10. Retention of title
The pieces remain the property of Esprit Vieux Bois until the price has been paid in full, including accessories (articles 2367 et seq. of the French Civil Code). Risk is borne by the customer from delivery.
Article 11. Liability
The workshop's liability is limited to foreseeable direct damage and cannot exceed the price of the piece concerned, except in the case of gross negligence or personal injury. It is not engaged in the event of force majeure: bad weather, strike, impossibility of obtaining wood, disaster, administrative decision.
If installation is carried out by a third party not appointed by the workshop, the workshop is not responsible for its quality.
Article 12. Intellectual property
The models, drawings, plans, photographs and visuals provided or published by Esprit Vieux Bois remain its property. They may not be reproduced or used without written consent. The customer authorises the workshop to photograph the delivered piece for communication purposes, without naming the customer, unless the customer refuses in writing.
Article 13. Personal data
Data collected to process an order is used solely to manage the commercial relationship, in line with the site's privacy policy. The full identity of the publisher appears in the legal notice.
Article 14. Consumer mediation
In the event of a dispute, the consumer customer first contacts the workshop in writing (). If no amicable solution is found, the customer may refer the matter free of charge to the consumer mediator:
Centre de la Médiation de la Consommation des Conciliateurs de Justice (CM2C), 49 rue de Ponthieu, 75008 Paris, France, www.cm2c.net
The request is made online, on the Déclarer un litige (report a dispute) page of the mediator's website.
Article 15. Governing law and jurisdiction
These terms are governed by French law. For a consumer customer, disputes fall under the courts that are competent under the Consumer Code. For a professional customer, they fall under the commercial court of Marseille.
Reminder of the texts on legal warranties
- Conformity (articles L217-3 et seq. of the French Consumer Code): the seller is liable for any lack of conformity existing at delivery, for 2 years from delivery of a new item. The consumer chooses between repair and replacement, unless the cost is manifestly disproportionate. The consumer does not have to prove the defect existed during the 24 months following delivery.
- Hidden defects (articles 1641 to 1649 of the French Civil Code): the seller is liable for hidden defects that make the item unfit for its use, or reduce that use so much that the buyer would not have bought it, or would have paid less. The claim expires 2 years after the defect is discovered.
